Soul Spritz Affiliate Program — Terms and Conditions

Effective Date: May 23, 2026

Welcome to the Soul Spritz Affiliate Program. These Terms and Conditions (“Terms”) govern your participation as an affiliate of Soul Spritz Inc. (“Soul Spritz,” “we,” “us,” or “our”). By submitting an affiliate application, you agree to be bound by these Terms.

1. Eligibility

To participate, you must:

  • Be at least 18 years of age
  • Have a valid PayPal account in your legal name for receiving payouts
  • Reside in the United States (international affiliates considered on a case-by-case basis)
  • Maintain a website, social media presence, or other promotional channel suitable for botanical wellness product promotion

2. Application and Approval

All affiliate applications are subject to manual review and approval at the sole discretion of Soul Spritz. We reserve the right to approve or reject any application without explanation. Approval is not guaranteed and is based on factors including but not limited to: brand alignment, audience quality, content standards, and promotional method disclosures.

3. Commission Structure

  • Commission Rate: 10% of qualifying order subtotal (excluding shipping and taxes)
  • Tracking Method: Last-click attribution via affiliate-specific tracking link
  • Cookie Duration: 60 days from the customer’s first click on your affiliate link
  • Minimum Payout Threshold: $25.00 USD accrued balance required before payout eligibility
  • Refund Grace Period: Commissions hold for 60 days after order completion before becoming eligible for payout, aligning with our customer refund window

4. Payout Schedule

Approved commissions are paid via PayPal on a monthly basis, processed within the first 15 days of the following month. Commissions on refunded, charged-back, or fraudulent orders are forfeited and will not be paid.

5. FTC Disclosure Requirements

You are required by U.S. Federal Trade Commission (“FTC”) regulations to clearly and conspicuously disclose your affiliate relationship with Soul Spritz in any content where you promote our products. This includes but is not limited to:

  • Social media posts (Instagram, TikTok, YouTube, X, Facebook, Pinterest, etc.)
  • Blog posts and website content
  • Email marketing
  • Video content (including descriptions and on-screen disclosures)
  • Podcast episodes (verbal disclosure required)

Acceptable disclosure language includes: “#ad,” “#affiliate,” “paid partnership,” “I earn a commission from purchases through my link,” or similar clear language placed at the beginning of the content.

Failure to comply with FTC disclosure requirements may result in immediate termination from the program and forfeiture of pending commissions.

6. Prohibited Promotion Methods

The following promotional methods are strictly prohibited and will result in immediate termination and forfeiture of all pending commissions:

  • Bidding on Soul Spritz, “Soul Spritz,” or related trademark terms in paid search (Google Ads, Bing Ads, etc.)
  • Domain squatting using “soulspritz” or confusingly similar terms
  • Spam email, unsolicited SMS, or unsolicited direct messaging
  • Coupon-stacking or unauthorized discount code distribution
  • Self-referrals or referrals to immediate household members
  • Cookie-stuffing, forced clicks, iframe tracking exploits, or any deceptive tracking manipulation
  • Misleading or false claims about Soul Spritz products, ingredients, or effects
  • Making medical, therapeutic, or health-condition treatment claims (Soul Spritz products are botanical wellness sprays, not medical treatments)
  • Promotion on sites containing hate speech, adult content, illegal content, or content harmful to minors
  • Use of paid traffic on platforms that violate the platform’s terms of service
  • Any activity that violates applicable federal, state, or local law

7. Product Claims and Brand Representation

Soul Spritz products are botanical herbal wellness sprays. You agree to:

  • Represent products accurately based on official Soul Spritz marketing materials
  • Not make medical claims, including claims related to sleep disorders, anxiety treatment, or any FDA-regulated health condition
  • Not represent yourself as an employee, agent, or official representative of Soul Spritz
  • Disclose that personal experiences may vary

8. Intellectual Property

Upon approval, Soul Spritz grants you a limited, non-exclusive, non-transferable, revocable license to use Soul Spritz trademarks, logos, and approved promotional images solely for the purpose of promoting our products through your affiliate link. You may not:

  • Modify Soul Spritz logos or marks
  • Use Soul Spritz branding in a manner that suggests official endorsement of your other content or business
  • Register domains, social handles, or business names containing “Soul Spritz” or confusingly similar terms
  • Continue using Soul Spritz intellectual property after termination from the program

9. Termination

Either party may terminate participation in the Affiliate Program at any time, with or without cause, with or without notice. Upon termination:

  • Your affiliate link will be deactivated
  • Commissions earned and held past the 60-day refund grace period at the time of termination will be paid in the next scheduled payout cycle, provided no terms violations occurred
  • Commissions earned through prohibited methods or terms violations are forfeited
  • Your license to use Soul Spritz intellectual property is immediately revoked

10. Independent Contractor Relationship

You are an independent contractor, not an employee, agent, partner, or joint venturer of Soul Spritz. You have no authority to bind Soul Spritz to any agreement or obligation. You are responsible for your own taxes, including reporting affiliate income to applicable tax authorities. Soul Spritz will issue IRS Form 1099-NEC to U.S. affiliates earning $600 or more in a calendar year.

11. Limitation of Liability

To the maximum extent permitted by law, Soul Spritz Inc. shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your participation in the Affiliate Program. Total liability under these Terms shall not exceed the total commissions paid to you in the 12 months preceding the claim.

12. Modification of Terms

Soul Spritz reserves the right to modify these Terms at any time. Changes will be effective upon posting to this page. Continued participation in the program after changes constitutes acceptance of the modified Terms. Material changes (including commission rate changes) will be communicated via email to active affiliates with at least 14 days notice.

13. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Los Angeles County, California.
